Welcome to MakeYourChatbot ("MYCB," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our AI-powered chatbot platform, including our website, APIs, widgets, and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.

1. Definitions

  • "Business Owner" means a person or entity that creates and manages chatbots using our platform
  • "End User" means any person who interacts with a chatbot powered by our Services
  • "Chatbot" means an AI-powered conversational agent created using our platform
  • "Content" means any text, data, information, or materials submitted to or generated by the Services

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use our Services as a Business Owner. By using our Services, you represent and warrant that you meet these requirements.

3. Account Registration

To create chatbots, you must register for an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly update your information if it changes
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access

4. Use of Services

4.1 License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your internal business purposes.

4.2 Acceptable Use

You agree NOT to use the Services to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Transmit harmful, offensive, or illegal content
  • Harass, abuse, or harm others
  • Spread misinformation or deceive users about the AI nature of chatbots
  • Collect sensitive personal information (health, financial, etc.) without appropriate safeguards and consent
  • Attempt to reverse engineer, decompile, or hack our Services
  • Interfere with or disrupt the Services or servers
  • Use automated means to access the Services beyond intended functionality
  • Resell or redistribute the Services without authorization
  • Create chatbots that impersonate real individuals without consent
  • Use the Services for spam or unsolicited communications

4.3 AI Disclosure Requirement

Business Owners must clearly disclose to End Users that they are interacting with an AI-powered chatbot, not a human. Failure to make this disclosure may result in termination of your account.

5. Content and Data

5.1 Your Content

You retain ownership of Content you submit to the Services (knowledge base, Q&A, configurations). By submitting Content, you grant us a worldwide, royalty-free license to use, process, and display such Content solely to provide the Services.

5.2 Conversation Data

Conversations between End Users and your chatbots are stored and processed to provide the Services. As a Business Owner, you are responsible for:

  • Having a privacy policy that discloses data collection through your chatbot
  • Obtaining necessary consents from End Users
  • Handling End User data in compliance with applicable laws
  • Responding to data subject requests from your End Users

5.3 Prohibited Content

You may not submit Content that is illegal, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable. We reserve the right to remove any Content that violates these Terms.

6. AI and Third-Party Services

Our Services use artificial intelligence provided by OpenAI and other third-party services. You acknowledge that:

  • AI responses may not always be accurate, complete, or appropriate
  • You are responsible for reviewing and approving chatbot behavior
  • AI capabilities and limitations may change over time
  • Third-party service availability may affect our Services

7. Fees and Payment

Certain features of the Services may require payment. If you subscribe to paid features:

  • You agree to pay all applicable fees as described at the time of purchase
  • Fees are non-refundable except as required by law or stated otherwise
  • We may change pricing with 30 days' notice
  • Failure to pay may result in suspension or termination of Services

8. Intellectual Property

8.1 Our Intellectual Property

The Services, including all software, designs, text, graphics, and other materials, are owned by MYCB or our licensors and are protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or brand features.

8.2 Feedback

If you provide feedback, suggestions, or ideas about the Services, you grant us a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without compensation to you.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. AI-GENERATED RESPONSES MAY CONTAIN ERRORS OR INACCURACIES.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MYCB AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless MYCB and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your Content or chatbot configurations
  • Your violation of any third-party rights
  • Any claims by End Users related to your chatbot

12. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice. You may terminate your account at any time by contacting us.

Upon termination:

  • Your right to use the Services immediately ceases
  • We may delete your account and associated data after a reasonable retention period
  • Provisions that by their nature should survive will survive termination

13. Modifications to Services and Terms

We reserve the right to modify the Services or these Terms at any time. Material changes will be communicated via email or through the Services. Your continued use after changes constitutes acceptance of the modified Terms.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms or the Services shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in such courts.

15. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and MYCB regarding the Services
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect
  • Waiver: Our failure to enforce any right does not waive that right
  • Assignment: You may not assign these Terms without our consent. We may assign our rights freely
  • Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control
